These Terms of Service ("Terms") govern your access to and use of the SolutionOS website, mobile application, and related services (the "Services"), operated by SolutionsOS, LLC ("SolutionOS," "we," "us," or "our"). By using the Services, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for licensed dental professionals and their authorized staff.
2. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.
3. License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal professional use. You may not:
- Copy, modify, or create derivative works of the Services;
- Reverse engineer or attempt to extract source code;
- Resell, sublicense, or provide the Services to third parties;
- Use the Services to violate any law or third-party right;
- Interfere with the integrity or performance of the Services.
4. Apple App Store EULA
If you access the Services through an application obtained from the Apple App Store, you acknowledge that these Terms are between you and SolutionsOS, LLC only, and not with Apple Inc. ("Apple"). Apple is not responsible for the Services or their content. Apple has no obligation to provide maintenance or support. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation. Any claims relating to possession or use of the app are the responsibility of SolutionsOS, LLC. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
5. Medical Disclaimer
The Services are workflow and productivity tools for dental professionals. They are not a substitute for professional clinical judgment, diagnosis, or treatment. You are solely responsible for all clinical decisions.
6. Intellectual Property
The Services, including all software, content, and trademarks, are owned by SolutionsOS, LLC or its licensors and are protected by intellectual property laws.
7. Termination
We may suspend or terminate your access at any time for any reason, including violation of these Terms. You may stop using the Services at any time.
8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLUTIONSOS, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU TO US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.
10. Governing Law
These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-laws principles. Exclusive venue for any dispute lies in the state and federal courts located in Maricopa County, Arizona.
11. Changes
We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance.
